These Terms and Conditions govern the Gray Shadow Consulting website, educational materials, digital offers, memberships, and related services.

These Terms and Conditions, referred to as the “Terms,” are an agreement between you and Gray Shadow Consulting, a sole proprietorship based in California and also referred to as “GSC,” “we,” “us,” or “our.” They govern your access to grayshadowconsulting.com, related communications, and any GSC product, membership, program, content, or service that links to these Terms.
Please read these Terms before using the website or purchasing an offer. A purchase requires affirmative acceptance of the version presented at checkout. By checking the acceptance box, clicking an acceptance control, signing an order, or otherwise taking an action that clearly indicates assent, you agree to the Terms presented with that transaction. Use of the public website is also subject to the lawful-use, intellectual-property, disclaimer, and liability provisions below to the fullest extent enforceable. If you do not agree, do not use the website or purchase the offer.
Agreement structure
An offer may include a checkout page, order form, statement of work, signed service agreement, or other terms presented before purchase. If terms conflict, a signed agreement controls for the service it covers, followed by offer-specific checkout terms, the Refund, Cancellation, and Returns Policy, and then these general Terms. The Privacy Policy governs personal-information handling and is not displaced by this priority rule. Mandatory law controls over any conflicting contract language.
Eligibility and authority
You must be at least 18 years old and legally able to enter a contract. If you use the site or purchase for an organization, you represent that you have authority to bind that organization. You must provide accurate information and keep account and payment information current.
Website use
GSC grants you a limited, revocable, nonexclusive, nontransferable license to access the public website for lawful personal or internal business evaluation. You may not interfere with the site, bypass access or security controls, introduce malicious code, scrape or harvest information through abusive automated means, impersonate another person, use the site to violate law or another person’s rights, or attempt unauthorized access to systems or accounts.
We may suspend or restrict access when reasonably necessary to protect the site, users, GSC, or a service provider; investigate suspected fraud or misuse; comply with law; or enforce these Terms.
Intellectual property
The website and GSC materials, including names, branding, text, designs, graphics, videos, audio, downloads, templates, methods, frameworks, course materials, and compilations, are owned by or licensed to GSC and protected by intellectual-property and unfair-competition laws. “Gray Shadow Consulting,” “Autonomous Living,” and the names and expressions of GSC frameworks may identify GSC offerings or source material even when a formal registration is not stated.
Unless an offer expressly grants broader rights, a purchase gives one named customer a limited, revocable, nonexclusive, nontransferable license to use the purchased materials for that customer’s personal or internal business purposes. You may not reproduce, republish, sell, sublicense, distribute, publicly perform or display, share credentials, remove rights notices, create a competing derivative product, or use GSC materials to train or evaluate a machine-learning system without prior written permission. You may make a reasonable backup copy of a permitted download for your own use.
No license to GSC trademarks, trade dress, or proprietary methods is granted by implication. Rights not expressly granted are reserved.
Accounts and access
You are responsible for activity under your account and for safeguarding credentials. Notify GSC and the applicable platform promptly if you suspect unauthorized use. Access is for the person or organization identified in the order unless the offer expressly permits additional seats. Platform outages, security events, or a breach of these Terms may require temporary restriction or credential reset.
Educational information and no professional advice
GSC provides educational, operational, consulting, and training material about time, priorities, decision-making, and execution. It is general information, not legal, medical, mental-health, financial, tax, accounting, employment, or other licensed professional advice. It does not create a fiduciary, attorney-client, therapist-patient, physician-patient, or similar professional relationship.
You are responsible for evaluating the information, deciding whether it fits your circumstances, and obtaining appropriate professional advice when needed. Do not use the website or an offer as emergency or crisis support.
No guaranteed results
GSC does not promise a particular personal, professional, financial, organizational, or time-management outcome. Results depend on factors outside GSC’s control, including fit, effort, implementation, prior conditions, constraints, and the level of support used. Examples may be illustrative rather than actual customer outcomes. Testimonials or case material, if later published, describe the identified person’s experience and are not a promise that another person will receive the same result.
Offers and order terms
The description, included materials, access period, support level, price, billing frequency, taxes, delivery method, and any guarantee for an offer will be stated on the applicable sales or checkout surface. Review that information before accepting the order. GSC may correct an obvious pricing or description error before fulfillment and will offer cancellation and a refund if it cannot honor the accepted order as presented.
Digital content is generally delivered through the email address and platform account associated with the order. You are responsible for using an accurate address, checking account and spam folders, and maintaining compatible equipment and Internet access. Contact info@grayshadowconsulting.com if access is not delivered as described.
Consulting, customized work, group delivery, live events, and services may require a separate written agreement. Scope, scheduling, client responsibilities, confidentiality, payment milestones, cancellation, and deliverables for those services are governed by that agreement.
Checkout and payment
GSC currently uses Whop as its selected online sales and access platform. Whop and its payment partners process payment credentials and may apply their own buyer terms and privacy notice. GSC remains responsible for the GSC offer, its description, delivery, support, and the GSC refund decision except where law or payment-network rules require otherwise.
By submitting an order, you authorize the disclosed charge, including applicable taxes and the stated billing frequency. You also consent to electronic records, signatures, acknowledgments, receipts, renewal notices, cancellation confirmations, and other transaction communications. Prices are shown in the currency identified at checkout. You are responsible for taxes or fees imposed on your purchase except taxes imposed on GSC’s net income. If a payment fails, access may be delayed or suspended while the issue is resolved.
Stripe is not a current direct GSC checkout under these Terms. If GSC later activates Stripe or another provider, the checkout, Privacy Policy, and operational records must be updated before relying on that provider.
Subscriptions and automatic renewal
If an offer is sold as a recurring subscription or membership, the checkout will clearly disclose the product or service, initial and renewal term, amount and frequency of charges, any trial or promotional period and the price afterward, the date or event that triggers the first charge, how to cancel, and any material minimum commitment. You must affirmatively consent to the recurring charge before purchase.
Unless the checkout says otherwise, a paid subscription automatically renews for successive periods of the same length until canceled. You authorize Whop and its payment partners to charge the payment method on file at the disclosed interval. You will receive an acknowledgment that can be retained and that includes the material renewal terms and cancellation method.
You may cancel through the cancellation control associated with the order in Whop or by emailing info@grayshadowconsulting.com. A cancellation received before the renewal cutoff stops future renewal. Unless a refund is approved or the offer says otherwise, cancellation does not reverse the current charge and access continues through the end of the paid period.
GSC will provide renewal, trial-ending, annual, and material-change notices when required by applicable law. If the subscription price or another material term changes, we will provide advance notice and a retainable cancellation method before the change takes effect. The checkout and cancellation flow must remain at least as easy to use as required by the law that applies to the transaction.
Cancellations, refunds, and returns
The Refund, Cancellation, and Returns Policy is incorporated into these Terms. It states the default final-sale rule, the limited exceptions for mandatory law and verified transaction or delivery problems, subscription cancellation and renewal treatment, service-agreement priority, request steps, and processing timing. GSC does not offer a general satisfaction or change-of-mind refund. An offer-specific written promise may give you more favorable rights. Nothing in these Terms limits a nonwaivable right or remedy.
Communications
You agree that GSC and its service providers may send electronic communications related to an inquiry, account, order, subscription, security issue, policy, or service. You may withdraw marketing consent or unsubscribe from marketing messages at any time. Opting out of marketing does not prevent necessary transactional, account, security, or legal communications.
Feedback and submissions
You retain ownership of original material you submit. You grant GSC the limited rights reasonably necessary to receive, store, review, and use a submission to respond to you or provide the requested service. If you voluntarily provide an idea or feedback about GSC’s products or operations without a separate confidentiality agreement, GSC may use it without payment or attribution, but this does not authorize public use of your name, likeness, confidential information, or testimonial without separate permission.
Do not submit content you do not have the right to share. GSC may remove unlawful, infringing, unsafe, or abusive content from a service it controls.
Third-party services and links
The site and offers may rely on or link to Whop, payment providers, analytics providers, social networks, video hosts, or other third parties. Their independent services are governed by their own terms. GSC is not responsible for a third party’s independent content, security, availability, or practices, but this sentence does not excuse GSC from duties the law assigns to it for the GSC offer.
Availability and changes
We may maintain, change, suspend, or discontinue a website feature or unpaid resource. For a paid offer, we will not materially remove purchased access or benefits without providing the substitute, notice, refund, or other remedy required by the order terms and applicable law. We do not guarantee uninterrupted availability, but we will use reasonable efforts to correct a material access problem reported through the contact route.
Disclaimer of warranties
To the fullest extent permitted by law, the website and general informational content are provided “as is” and “as available.” GSC disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent those warranties can lawfully be disclaimed. GSC does not warrant that the website will always be uninterrupted, secure, error-free, or suitable for every purpose.
This disclaimer does not limit an express written promise in an accepted order, the Refund, Cancellation, and Returns Policy, or a warranty or consumer right that cannot lawfully be excluded.
Limitation of liability
To the fullest extent permitted by law, neither GSC nor its owners, personnel, or agents will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, opportunity, or goodwill, arising from the website or an offer, even if advised that such damage is possible.
To the fullest extent permitted by law, GSC’s aggregate liability arising from a paid offer will not exceed the amount you paid GSC for that offer during the 12 months before the event giving rise to the claim. For a claim based only on free website use, aggregate liability will not exceed 100 US dollars.
These limits do not apply to fraud, willful misconduct, gross negligence, personal injury caused by negligence where liability cannot be excluded, infringement or misappropriation for which exclusion is prohibited, an express refund obligation, or any statutory right or remedy that cannot lawfully be limited. Some jurisdictions do not allow certain exclusions, so part of this section may not apply to you.
Indemnity for unlawful misuse
To the extent permitted by law, you will defend and indemnify GSC against a third-party claim, loss, or reasonable expense arising from your unlawful misuse of the website or materials, your infringement of another person’s rights, or content you submit in violation of these Terms. This obligation does not cover a claim caused by GSC’s own wrongful conduct and does not limit a consumer protection that cannot be waived.
Termination
You may stop using the website at any time and may cancel a subscription as described above. GSC may terminate or suspend access for material breach, fraud, unlawful conduct, threats to security, nonpayment, or conduct that materially harms GSC or another user. When practical, GSC will provide notice and an opportunity to cure a remediable breach. Sections that by their nature should survive, including payment, intellectual property, disclaimers, liability limits, dispute terms, and record obligations, survive termination.
Governing law and forum
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except to the extent the mandatory law of your residence applies. Any court proceeding relating to these Terms will be brought in a state or federal court with jurisdiction in Los Angeles County, California, and each party consents to that venue, except that either party may bring an eligible individual claim in small-claims court.
Before filing a court proceeding, the parties should first send a written notice describing the dispute and requested resolution and allow 30 days for a good-faith informal resolution, unless immediate relief is reasonably necessary or a limitations period would expire. These Terms do not require private arbitration and do not include a class-action waiver. California law and Los Angeles County are the selected governing law and forum, subject to nonwaivable consumer law.
General terms
Neither party is liable for delay caused by events beyond reasonable control, except that this does not excuse payment already due or a legal obligation that cannot be delayed. You may not assign these Terms or an account without GSC’s written consent; GSC may assign them in connection with a genuine reorganization, financing, or transfer of the relevant business, subject to applicable law and notice obligations.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A waiver must be express and does not waive a later breach. Headings are for convenience. These Terms and the incorporated documents form the entire agreement for their subject matter, except for a controlling signed or offer-specific agreement.
Changes to these Terms
We may update these Terms prospectively. The posted version will identify its effective date. A change does not retroactively reduce a right that attached to an earlier purchase. We will provide additional notice for a material change affecting an active paid subscription or service when reasonably appropriate or legally required.
